1. Purpose
BEAVER IT is a company specializing in consulting, engineering, and technical assistance in the IT field, serving businesses, local authorities, and public or private organizations, either directly or through subcontracting.
These General Terms and Conditions of Sale (GTC) define the framework of the contractual relationship between BEAVER IT and its professional Clients.
2. Scope
Any order validated by the Client implies full and complete acceptance of these GTC, unless otherwise stipulated in writing and accepted by BEAVER IT.
The GTC take precedence over the Client’s general purchasing conditions, unless expressly accepted by BEAVER IT.
3. Contractual Documents
In the event of a conflict between several contractual documents, the order of priority is as follows:
These GTC
The Client’s general purchasing conditions accepted in writing
The commercial proposal, engagement letter, or signed quote
The purchase order
The order acknowledgment
Any contract signed between the Parties
4. Validity Period of Offers
Unless otherwise specified, our proposals are valid for 30 days from their issuance. The contract takes effect upon signature by both Parties or upon sending an order acknowledgment.
5. Nature of Commitments
BEAVER IT operates under a best-efforts obligation and undertakes to provide its services in accordance with industry standards and within the indicative deadlines agreed upon.
The Client undertakes to provide all information and resources necessary for the proper execution of the assignment.
6. Liability
BEAVER IT’s liability is limited to proven direct damages, up to 50% of the total amount paid by the Client for the relevant service.
Not covered:
Loss of business, revenue, data, or reputation
Indirect or non-material damages
Delays due to a third party, Client’s fault, or force majeure
Any claim must be made within one (1) year after the discovery of the event giving rise to the claim.
7. Pricing and Expenses
Prices are quoted excluding taxes, according to the conditions defined in the commercial proposal. Expenses (travel, accommodation, etc.) are reimbursed at cost.
Any breach by the Client of the contractual conditions may result in invoicing for services as performed.
Prices are subject to annual revision according to the Syntec index.
8. Invoicing and Payment
Invoices are issued monthly or according to a contractual schedule.
Payment is due within 30 calendar days from the invoice date, by bank transfer or check.
In case of late payment, penalties equal to three times the legal interest rate will be applied, as well as a fixed compensation of €40 for recovery costs.
9. Claims
Any dispute regarding an invoice must be sent by registered letter within 15 days of receipt.
After this period, the invoice is deemed fully accepted.
10. Confidentiality
Each Party undertakes to keep confidential all information exchanged under the contract, for a period of 5 years.
Public or already known information is excluded.
11. Data Protection (GDPR)
Personal data collected is processed by BEAVER IT for the proper execution of services.
In accordance with the GDPR, the Client has the right to access, rectify, delete, and object to their data, by contacting:

In case of a dispute, a complaint can be filed with the CNIL (www.cnil.fr).
12. Applicable Law and Jurisdiction
These GTC are governed by French law.
In the event of a dispute not resolved amicably, exclusive jurisdiction is given to the Commercial Court of Strasbourg, even in the event of multiple defendants.
